CLARIFICATION REGARDING THE PRESS RELEASE DATED 28 JULY
2026
Marina di Carrara, Carrara, 29 July 2026 – Following the request received from BDO Audit Services S.r.l. on 28 July 2026, The Italian Sea Group S.p.A. (“TISG ” or the “Company ”), a company listed on Euronext Milan , wishes to clarify the information contained in the press release issued on the same date concerning the resignation of BDO Audit Services S.r.l. from its statutory audit engagement (the “Previous Press Release”).
As disclosed in the Previous Press Release, on 27 July 2026 BDO Audit Services S.r.l. (the “Statutory Auditor” or “BDO”) tendered its irrevocable resignation from the statutory audit engagement. The resignation was based on the perceived unavailability of certain documents —namely, the Forensic Report prepared by KPMG Advisory S.p.A. and the criminal complaint filed against certain former managers —which the Statutory Auditor considered relevant for the performance of its audit activities.
For the sake of greater clarity with respect to the information set out in the Previous Press Release, the Company specifies that, as part of the activities already undertaken to address the requests made by the Statutory Auditor, immediately following receipt of the resignation notice it completed the checks and formalities required to make the aforementioned documents available at its registered office .
