Change of the Amount of the Legal Share Capital and the Number of Shares
MFE -MEDIAFOREUROPE N.V. (“MFE” or the “ Company ”) announces the c hange of the amount of its issued legal share capital and the number of its is sued ordinary shares as follows, pursuant to applicable laws and regulations.
Such changes are due to MFE’s legal share capital increase by means of an issue of Company’s ordinary “A” -class shares (collectively, the “ A Shares ”) in the context of the implementation of MFE’s 2021 -2023 medium -long term incentive plan (the “ Plan”), as better described in the press release issued by the Company on 23 September 2026 (as a whole, the “ Dedicated Issue ”), it being understood that the number of MFE’s ordinary “B” -class shares (collectively, the “ B Shares ” and, together with the A Shares, the “ Shares”) has remained unchanged .
More in detail, on the date hereof, MFE ha s issued No. 1,236,555 A Shares with a per-share par value equal to EUR 0.06 and with the total nominal value of such newly -issued shares being charged against the Company ’s share premium reserve .

Variazione del capitale sociale e del numero di azioni
MFE -MEDIAFOREUROPE N.V. (“MFE” o la “ Società”) comunica come segue la variazione dell’ammontare del proprio capitale sociale emesso e del numero delle proprie azioni ordinarie emesse, il tutto ai sensi dell’applicabile disciplina (anche regolamentare) vigente .
Tale variazione è dovut a all’aumento del capitale sociale di MFE mediante emissione di azioni ordinarie di classe “A” della Società (collettivamente, le “ Azioni A”) nel contesto dell’attuazione del piano di incentivazione a medio -lungo termine 2021 -2023 di MFE (il “ Piano”), il tutto come meglio descritto nel comunicato stampa diffuso dalla Società il 23 settembre 2026 (nel suo complesso, l’“Emissione Dedicata ”), fermo restando che il numero delle azioni ordinarie di classe “B” di MFE (collettivamente, le “ Azioni B ” e, insieme alle Azioni A, le “Azioni”) è rimasto invariato .
Più nel dettaglio, alla data odierna , MFE ha emesso n ° 1.236.555 Azioni A con un valore nominale unitario pari a 0,06 euro , fatta precisazione che il valore nominale complessivo di tali azioni di nuova emissione sarà prelevato d alla riserva sovrapprezzo azioni della Società.
La tabella che segue mette a confronto i dati relativi al capitale sociale emesso di MFE e d al numero delle Azioni (insieme all ’indicazione del relativo valore nominale e del numero dei diritti di voto) prima e dopo l ’Emissione Dedicata .
