Cembra placed 601,801 treasury shares, corresponding to c. 2.0% of its share capital at a price of CHF 86.80 per share, resulting in gross proceeds of approximately CHF 52 million. The treasury shares were offered by way of a private placement exclusively to professional investors in Switzerland and to qualified investors outside of Switzerland in reliance on Regulation S under the U.S. Securities Act of 1933, as amended (the “Securities Act”), and in the United States only to qualified institutional buyers as defined in the Rule 144A under the Securities Act in reliance on Sec. 4(a)(2) of the Securities Act or another exemption from, or in a transaction not subject to, the registration requirements of the Securities Act.
Payment and settlement of the Transaction is expected to take place on or around 28 July 2026.
As part of the Transaction, Cembra has agreed to a 90-day lock-up period, subject to customary exceptions.
