CASH DISTRIBUTION

PAYMENT OF DIVIDEND FOR THE 2025 FINANCIAL YEAR

 The company "N. VARVERIS - MODA BAGNO S.A." announces that, pursuant to the resolution of the Annual Ordinary General Meeting of shareholders held on September 10, 2026, the distribution of a dividend from the profits of the 2025 financial year was approved; specifically, it was decided to pay a total amount of €1,315,027, corresponding to €0.0699110579 (gross amount) per share. In accordance with Articles 40 par. 1 and 64 par. 1 of Law 4172/2013, a 5% tax applicable to the dividend is withheld from the aforementioned amount; consequently, the final dividend amount to be paid (net amount) will be €0.0664155051 per share. Monday, October 19, 2026, has been set as the dividend ex-date. From this date onwards, the Company’s shares will trade on the Athens Stock Exchange without the right to the dividend distribution. Beneficiaries of the aforementioned dividend (record date) are those registered in the Dematerialized Securities System (DSS) managed by the "Hellenic Central Securities Depository" (ATHEXCSD) on Tuesday, October 20, 2026. Dividend payment will commence on Friday, October 23, 2026, and will be effected through the paying bank, ALPHA BANK, as follows: Through the beneficiaries' DSS Participants (Banks and Brokerage Firms), in accordance with the ATHEXCSD Operation Regulation and its relevant decisions. In cases where dividends are paid to the heirs of deceased beneficiaries whose securities are held in the Special Account of their securities account within the Dematerialised Securities System (DSS)—managed by ATHEXCSD—the dividend payment process will be carried out via Alpha Bank following the completion of the heirs' legal verification. Dividends not collected by December 31, 2031, shall become time-barred (Article 250 of the Civil Code, case 15), and the relevant amounts shall revert to the Greek State in accordance with Article 1 of Legislative Decree 1195/1942.
