Capital redemption reserve cancellation
London and Lagos, 15 July 2026: Airtel Africa, a leading provider of telecommunications and mobile money services with operations in 14 countries across Africa, announces that the cancellation of the Company's capital redemption reserve (the "Capital Reduction"), which was approved by shareholders at the annual general meeting of the Company held on 9 July 2025, was yesterday sanctioned by the High Court of England and Wales (the "High Court").
The effect of the Capital Reduction is to create additional distributable reserves which will be available to the Company going forward and may be used to facilitate returns to shareholders in the future, whether in the form of dividends, distributions or purchases of the Company's own shares.
The order of the High Court confirming the Capital Reduction (the "Court Order"), and the statement of capital approved by the High Court in connection with the same, have been delivered to the Registrar of Companies. The Capital Reduction will become effective upon the registration of the Court Order and the statement of capital by the Registrar of Companies.
The Capital Reduction does not affect the rights attached to the Company's shares and the Company's issued share capital will be unaffected by the Capital Reduction.
