Calviks has successfully issued new senior secured bonds, announces the results of the tender offer, and confirms early redemption of outstanding bonds
Calviks AB (publ) ("Calviks" or the "Company", and together with its subsidiaries the "Group") today announces that it has successfully issued new senior secured bonds in a nominal amount of SEK 650 million under a framework of SEK 1,200 million and with a tenor of three years (the “New Bonds”). The New Bonds will carry a floating interest rate of STIBOR three months plus an 8.0 per cent margin per annum. Settlement of the New Bonds is expected to occur on or about 23 October 2026. The Company intends to list the New Bonds on Nasdaq Stockholm within 60 days, with the intention to have the New Bonds admitted to trading within 30 days from the issue date.
Calviks today also announces the results of the tender offer announced on 1 October 2026 to holders of its outstanding senior secured bonds with ISIN SE0023849559 (the “Outstanding Bonds”) to tender any and all of their Outstanding Bonds for repurchase by the Company for cash at a price of 124.328 per cent. of the nominal amount plus accrued and unpaid interest on the Outstanding Bonds from, but excluding, the previous interest payment date until, and including, the settlement date for the Tender Offer, determined using a Fixed Purchase Yield of 0.000 per cent to 7 April 2027 (the “Final Purchase Price”) at the Pricing Time (the “Tender Offer”).
The Tender Offer expired at 12:00 CEST on 9 October 2026. On expiration, the Company received valid tender instructions from holders of Outstanding Bonds in an aggregate nominal amount of SEK 283.75 million. Subject to the Company's receipt of the proceeds from the New Bonds, the Company intends to complete the Tender Offer and accepts for repurchase all validly submitted tender instructions in respect of the Outstanding Bonds at the Final Purchase Price. Settlement of the Tender Offer is expected to occur on or about 23 October 2026 and to coincide with the settlement of the New Bonds.
Subject to the Company's receipt of the proceeds from the New Bonds, Calviks confirms that it will exercise its right to voluntary early redemption of the Outstanding Bonds (of which the Company holds SEK 2.5 million) not repurchased through the Tender Offer (the “Early Redemption”). A notice of the Early Redemption will be sent to directly registered owners of the Outstanding Bonds registered in the debt register maintained by Euroclear Nordics as of 8 October 2026. In the event of such Early Redemption, the remaining Outstanding Bonds will be redeemed in full on 4 November 2026 (the “Redemption Date”) at a price equal to 120 per cent. of the nominal amount plus the remaining interest payments up to and including 7 April 2027, and accrued and unpaid interest up to and including the Redemption Date on 4 November 2026 (which equals the Final Purchase Price). The redemption amount will be paid to each person who is registered as an owner of Outstanding Bonds in the debt register maintained by Euroclear Nordics AB as of the record date, being 28 October 2026.
DNB Carnegie and Nordea acted as “Joint Bookrunners“ and dealer managers in connection with the issue of the New Bonds and the Tender Offer. Advokatfirman Cederquist KB acted as legal adviser to the Joint Bookrunners and dealer managers.
