RELAZIONE SEMESTRALE CONSOLIDATA AL 30 GIUGNO 2026

Sintesi dei principali risultati al 30 giugno 2026 Il primo semestre 2026 è il primo periodo interamente operato con il nuovo assetto industriale definito alla fine del 2025, articolato nelle divisioni Hyris, Vytro e Mytho. Il valore della produzione consolidato del primo semestre 2026, pari a Euro 2.331.2 97, evidenzia una crescita del 259,8% rispetto a quanto conseguito nel primo semestre 2025 e risultando superiore a quanto realizzato nell’intero esercizio 2025. L’EBITDA del primo semestre 2026, negativo di Euro 47.420, risulta in miglioramento per il ter zo semestre consecutivo. La Posizione Finanziaria Netta al 30 giugno 2026 risulta positiva (cassa netta) per Euro 434.742, in deciso miglioramento rispetto al dato al 31 dicembre 2025, in assenza di apporti di capitale nel semestre.

Analisi dei risultati consolidati al 30 giugno 2026 Conto economico consolidato Nel primo semestre 2026, i ricavi delle vendite e delle prestazioni ammontano a Euro 2.081.273, rispetto a Euro 528.792 realizzati nel primo semestre 2025 (+293,6%).
La divisione Hyris ha conseguito nel primo semestre 2026 ricavi pari a Euro 326.548 (Euro 299.223 nel primo semestre 2025) , in crescita del 9,1% . Il contributo del periodo comprende i ricavi generati dagli accordi di partnership e distribuzione in essere, l’avanzamento del progetto finanziato dalla Gates Foundation per la sorveglianza attiva della malaria, l’aggiudicazione della fornitura di kit p er la misura dell’immunità cellulare presso l’Hospital Universitario La Paz di Madrid e le attività di vendita diretta verso partner e clienti finali.
La divisione Vytro ha conseguito nel primo semestre 2026 ricavi pari a Euro 148.725 (Euro 229.569 nel primo semestre 2025), in contrazione del 35,2% principalmente per effetto, da un lato, di minori volumi di vendita delle forniture ospedaliere i cui ricavi maturano in funz ione dei prelievi effettivi e non della data di aggiudicazione delle forniture e, dall’altro, dalla diversa distribuzione infrannuale delle spedizioni verso i distributori. Il primo semestre 2026 è stato caratterizzato da due aggiudicazioni nella diagnosti ca molecolare oncoematologica e dalla prosecuzione delle vendite sia attraverso gli accordi di distribuzione in essere sia direttamente a laboratori e ospedali. Di rilievo è l’inclusione delle soluzioni del Gruppo fra quelle validate nel nuovo Manuale GISC i; tale inclusione rafforza il posizionamento nei programmi di screening organizzato del cervicocarcinoma.
La divisione Mytho , che non era operativa nel primo semestre 2025, ha conseguito ricavi pari a Euro 1.606.000, integralmente riferibili al rapporto commerciale con Revvity Italia a servizio del Progetto Genoma Puglia. Di tali ricavi, Euro 1.164.400 sono riferibili alle forn iture eseguite nell’ambito dell’accordo di fornitura del 10 febbraio 2026 — pari a circa il 90% del volume minimo garantito per l’anno 2026 — mentre Euro 441.600 attengono a forniture eseguite a fronte di ordinativi acquisiti dal medesimo cliente anteriorm ente alla sottoscrizione del suddetto accordo. La concentrazione dei ricavi della divisione su un numero limitato di clienti costituisce un elemento di attenzione, il cui presidio passa dall’ampliamento del portafoglio clienti e dalla diversificazione dell e applicazioni.
Nel primo semestre 2026, gli altri ricavi e proventi ammontano a Euro 250.024 (Euro 119.070 nel primo semestre 2025), di cui Euro 191.548 riferiti a proventi e contributi derivanti da bandi e progetti sovvenzionati.
I costi operativi sostenuti nel primo semestre 2026 ammontano a Euro 2.378.717 (Euro 1.558.013 nel primo semestre 2025, +52,7% Y/Y), a fronte di un valore della produzione più che triplicato; la loro incidenza sul valore della produzione si riduce dal 240,5% nel primo semestre 2025 al 102,0% nel primo semestre 2026. L’ incremento dei costi operativi rispetto al primo semestre 2025 è riconducibile in misura prevalente alle componenti di costo direttamente correlate ai volumi delle forniture eseguite nel periodo, a fronte di una struttura organizzativa e produttiva rimasta sostanzialmente stabile rispetto al primo semestre 2025 ; la crescita dei costi operativi risulta pertanto significativamente meno che proporzionale rispetto alla crescita del valore della produzione nel periodo in esame.
L’EBITDA consolidato realizzato nel primo semestre 2026 è negativo per Euro 47.420, rispetto a Euro -910.151 conseguito nel primo semestre 2025, con un miglioramento di Euro 862.731. Di rilievo è il continuo miglioramento della redditività che è proseguito per il terzo semestre consecutivo, a conferma di una gestione dei costi che ha consentito di sostenere volumi crescenti senza un corrispondente ampliamento della struttura.
Il risultato netto consolidato nei primi sei mesi del 2026 è negativo per Euro 1.436.157 (Euro -2.431.220 nel primo semestre 2025) e resta impattato in misura prevalente dall’ammortamento dell’avviamento rilevato in sede di consolidamento, componente non monetaria il cui an damento è indipendente dalla gestione operativa.
Stato patrimoniale e Posizione Finanziaria Netta consolidati La Posizione Finanziaria Netta al 30 giugno 2026 risulta positiva (cassa netta) per Euro 434.742, in aumento di Euro 197.395 rispetto a Euro 237.347 al 31 dicembre 2025. Il miglioramento riflette il flusso di cassa generato dalla gestione operativa, che ha beneficiato del recupero di r isorse dal capitale circolante — per effetto prevalente della riduzione dei crediti tributari e delle rimanenze.
Guidance 2026 confermata I ricavi, inclusi i grants, del primo semestre 2026 — determinati come somma dei ricavi delle vendite pari ad Euro 2.081.273 e dei proventi e contributi da bandi e progetti sovvenzionati pari ad Euro 191.548, per complessivi Euro 2.272.821 — si collocano al di sopra del range di ricavi attesi nel primo semestre 2026 indicato nella guidance comunicata il 23 febbraio 2026 (Euro 1,6 | 1,7 milioni).
L’EBITDA del primo semestre 2026, negativo per Euro 47.420, si colloca anch’esso al di sopra dell’estremo superiore del range semestrale di EBITDA atteso nel primo semestre 2026 comunicato (Euro -0,35 | -0,25 milioni).
Per il secondo semestre 2026, i ricavi e l’EBITDA sono attesi a livelli inferiori di quelli realizzati nel primo semestre e alla guidance del secondo semestre comunicata il 23 febbraio 2026, per effetto dell’anticipazione nel primo semestre di una parte dei ricavi originariamente attesi nel secondo. A fronte di costi operativi di struttura attesi su un livello sostanzialmente allineato a quello del periodo in esame, il minore apporto di redditività attesa nel secondo semestre discende pertanto dalla fasatura infrannuale dei ricavi e non da un ampliamento della struttura di costo.
Alla luce dei risultati conseguiti nel primo semestre 2026, il Consiglio di Amministrazione conferma la guidance per l’esercizio 2026, che stima ricavi — inclusi i grants — in un intervallo compreso fra Euro 3,2 milioni ed Euro 3,5 milioni ed EBITDA in un intervallo compreso fra Euro -0,60 milioni ed Euro -0,40 milioni. Si ricorda che la ripartizione infrannuale dei ricavi conseguenti all’accordo con Revvity Italia segue i volumi effettivamente ordinati dal committente e non è pertanto predeterminata. La So cietà monitorerà l'evoluzione della gestione e provvederà alle comunicazioni al mercato secondo le modalità e i tempi previsti dal Regolamento Emittenti Euronext Growth Milan.
Fatti di rilievo intervenuti nel corso del periodo • 10 febbraio 2026 — Accordo di fornitura con Revvity Italia S.p.A. per prodotti basati su tecnologia NGS a servizio del programma di screening genomico neonatale della Regione Puglia (Progetto Genoma Puglia); durata annuale, rinnovabile, volume minimo garantito per circa Euro 1.300.000;
• 20 marzo 2026 — Primo ordine del sistema di liquid handling proprietario: ordine di Euro 135.000 da Aptika S.r.l., tramite la controllata Hyris, per i primi esemplari del sistema attualmente in fase di

• 8 giugno 2026 — Aggiudicazione in Spagna della fornitura di kit per la determinazione dell’immunità cellulare (risposta T -cellulare) al SARS -CoV-2: Lotto 2 della gara della Fundación para la Investigación Biomédica dell’Hospital Universitario La Paz di Madrid, nell’ambito del progetto di ricerca pubblico ENE COVID SENIOR II, finanziato dall’Instituto de Salud Carlos III con risorse dell’Unione Europe a – Next Generation EU; importo di aggiudicazione Euro 94.000 (IVA esclusa). I kit si basano su un saggio in qPCR di attivazione delle cellule T sulla piattaforma proprietaria Hyris System ™ (bCUBE ™ e bAPP ™); metodo disponibile in configurazione per uso di ricerca;
• 24 giugno 2026 — Due aggiudicazioni di forniture per la diagnostica molecolare oncoematologica nel canale ospedaliero pubblico (divisione Vytro): ULSS n. 1 Dolomiti, fornitura di un sistema per la diagnostica molecolare delle malattie mieloproliferative croniche destinato all’Anatomia Patologica dell’ospedale di Belluno, basato sulla piattaforma Hyris bCUBE 2.0, per Euro 109.800 (IVA esclusa) fino a maggio 2029; Azienda Ospedaliera di Cosenza, fornitura in service annuale di sistemi di analisi, reagenti e consumabili con metodo Real Time per il Laboratorio Analisi Chimico -Cliniche, per Euro 106.230 (IVA esclusa).
Fatti di rilievo intervenuti dopo la chiusura del periodo • 2 luglio 2026 — Ingresso nell’Indice Intermonte Valore Italia : Helyx è stata selezionata tra le cento società quotate su Borsa Italiana che compongono l’Indice Intermonte Valore Italia, dedicato alle PMI con capitalizzazione inferiore al miliardo di euro ;
• 10 luglio 2026 — Sottoscrizione della seconda tranche dell’aumento di capitale da parte di Global Corporate Finance LLC in esecuzione dell’accordo di investimento del 31 luglio 2025: sottoscritte n. 394.000 azioni a Euro 0,681, per un controvalore di Euro 268.314 ; le risorse sono state destinate prevalentemente al rafforzamento dell’infrastruttura produttiva del Gruppo. • 22 settembre 2026 — Sottoscrizione del contratto con l’Organismo Notificato per la valutazione della conformità dei dispositivi legacy di classe C ai sensi del Regolamento (UE) 2017/746 (IVDR), nel rispetto del termine del 26 settembre 2026. Con tale adempimento il Gruppo mantiene il beneficio del periodo transitorio esteso, che consente l’immissione in commercio di tali dispositivi fino al 31 dicembre 2028.
Evoluzione prevedibile della gestione Il secondo semestre 2026 è impostato sulle seguenti priorità operative:
- avanzamento del percorso regolatorio IVDR, con la predisposizione della documentazione tecnica e il supporto dell’iter di valutazione della conformità;
- rafforzamento della divisione Mytho, con il potenziamento della capacità produttiva funzionale a sostenere i volumi dell’accordo con Revvity Italia e ad ampliare la base di clientela;
- consolidamento della presenza nel canale ospedaliero pubblico nelle aree applicative presidiate (oncoematologia, genetica, farmacogenetica, screening del cervicocarcinoma);
- consolidamento del ruolo di piattaforma industriale del Gruppo.

Summary of the main results as at 30 June 2026 The first half of 2026 is the first period entirely operated under the new industrial structure defined at the end of 2025, organised into the Hyris, Vytro and Mytho divisions. Consolidated value of production for the first half of 2026, amounting to Euro 2,331,297, shows growth of 259.8% compared to the first half of 2025 and exceeds the figure achieved in the entire 2025 financial year. EBITDA for the first half of 2026, negative for Euro 47,420, improved for the third consecutive half -year. The Net Finan cial Position as at 30 June 2026 is positive (net cash) for Euro 434,742, a marked improvement compared to 31 December 2025, in the absence of capital contributions during the half -year.

Analysis of the consolidated results as at 30 June 2026 Consolidated income statement In the first half of 2026, revenues from sales and services amounted to Euro 2,081,273, compared to Euro 528,792 in the first half of 2025 (+293.6%).
The Hyris division generated revenues of Euro 326,548 in the first half of 2026 (Euro 299,223 in the first half of 2025), up 9.1%. The period’s contribution includes revenues generated by the existing partnership and distribution agreements, the progress of the pro ject funded by the Gates Foundation for the active surveillance of malaria, the award of the supply of kits for the measurement of cellular immunity at the Hospital Universitario La Paz in Madrid, and direct sales activities to partners and end customers.
The Vytro division generated revenues of Euro 148,725 in the first half of 2026 (Euro 229,569 in the first half of 2025), down 35.2%, mainly due, on the one hand, to lower sales volumes of hospital supplies, whose revenues accrue according to actual draw -downs rath er than the award date of the supplies, and, on the other hand, to the different intra -year distribution of shipments to distributors.
The first half of 2026 was characterised by two awards in molecular onco -haematology diagnostics and by the continuation of sales both through the existing distribution agreements and directly to laboratories and hospitals. Of note is the inclusion of the Group’s solutions among those validated in the new GISCi Manual, which strengthens the Group’s positioning in organised c ervical cancer screening programmes.
The Mytho division, which was not operational in the first half of 2025, generated revenues of Euro 1,606,000, entirely attributable to the commercial relationship with Revvity Italia serving the Progetto Genoma Puglia. Of these revenues, Euro 1,164,400 relate to s upplies performed under the supply agreement of 10 February 2026 — equal to approximately 90% of the guaranteed minimum volume for 2026 — while Euro 441,600 relate to supplies performed against orders received from the same customer prior to the signing of that agreement. The concentration of the division’s revenues on a limited number of customers constitutes an element of attention, addressed through the broadening of the customer portfolio and the diversification of applications.
In the first half of 2026, other revenues and income amounted to Euro 250,024 (Euro 119,070 in the first half of 2025), of which Euro 191,548 relating to income and contributions from grants and subsidised projects.
Operating costs incurred in the first half of 2026 amounted to Euro 2,378,717 (Euro 1,558,013 in the first half of 2025, +52.7% Y/Y), against a value of production that more than tripled; their incidence on the value of production decreased from 240.5% in the first half of 2025 to 102.0% in the first half of 2026. The increase in operating costs compared to the first half of 2025 is mainly attributable to cost components directly related to the volumes of supplies performed in the period, against an organis ational and production structure that remained substantially stable compared to the first half of 2025; operating costs therefore grew significantly less than proportionally to the growth in the value of production in the period under review.
Consolidated EBITDA for the first half of 2026 was negative for Euro 47,420, compared to Euro -
910,151 in the first half of 2025, an improvement of Euro 862,731. Of note is the continued improvement in profitability for the third consecutive half -year, confirming a cost mana gement approach that has made it possible to support growing volumes without a corresponding expansion of the structure.
The consolidated net result for the first six months of 2026 was negative for Euro 1,436,157 (Euro -
2,431,220 in the first half of 2025) and continues to be affected predominantly by the amortisation of goodwill recognised on consolidation, a non -monetary item whose trend is indepen dent of operating performance.
Consolidated balance sheet and Net Financial Position The Net Financial Position as at 30 June 2026 is positive (net cash) for Euro 434,742, an increase of Euro 197,395 compared to Euro 237,347 as at 31 December 2025. The improvement reflects the cash flow generated by operations, which benefited from the release of resources from wor king capital — mainly due to the reduction in tax receivables and inventories.
2026 guidance confirmed Revenues including grants for the first half of 2026 — determined as the sum of revenues from sales of Euro 2,081,273 and income and contributions from grants and subsidised projects of Euro 191,548, for a total of Euro 2,272,821 — are above the range of r evenues expected for the first half of 2026 indicated in the guidance announced on 23 February 2026 (Euro 1.6 | 1.7 million).
EBITDA for the first half of 2026, negative for Euro 47,420, is also above the upper end of the half -year EBITDA range expected for the first half of 2026 as announced (Euro -0.35 | -0.25 million).
For the second half of 2026, revenues and EBITDA are expected to be lower than those achieved in the first half and than the second -half guidance announced on 23 February 2026, as a result of the anticipation into the first half of part of the revenues ori ginally expected in the second half. With structural operating costs expected to remain substantially in line with those of the period under review, the lower profitability expected in the second half therefore stems from the intra -year phasing of revenues and not from an expansion of the cost structure.
In light of the results achieved in the first half of 2026, the Board of Directors confirms the guidance for the 2026 financial year, which estimates revenues — including grants — in a range between Euro 3.2 million and Euro 3.5 million and EBITDA in a ran ge between Euro -0.60 million and Euro -0.40 million.
It should be noted that the intra -year distribution of revenues arising from the agreement with Revvity Italia follows the volumes actually ordered by the customer and is therefore not predetermined. Th e Company will monitor the evolution of operations and will provide disclosures to the market in the manner and within the timeframes set out in the Euronext Growth Milan Issuers’ Regulation.

Significant events after the end of the period • 2 July 2026 — Inclusion in the Intermonte Valore Italia Index: Helyx was selected among the one hundred companies listed on Borsa Italiana that make up the Intermonte Valore Italia Index, dedicated to SMEs with a market capitalisation below one billion euro;
• 10 July 2026 — Subscription of the second tranche of the capital increase by Global Corporate Finance LLC in execution of the investment agreement of 31 July 2025: 394,000 shares subscribed at Euro 0.681, for a total consideration of Euro 268,314; the proceeds were allocated mainly to strengthening the Group’s production infras tructure. • 22 September 2026 — Signing of the agreement with the Notified Body for the conformity assessment of class C legacy devices pursuant to Regulation (EU) 2017/746 (IVDR), within the deadline of 26 September 2026. Through this step, the Group retains the benefit of the extended transitional period, which allows such devices to be placed on the market until 31 December 2028.
Foreseeable business outlook The second half of 2026 is focused on the following operating priorities:
- progress along the IVDR regulatory pathway, with the preparation of the technical documentation and support for the conformity assessment process;
- strengthening of the Mytho division, with the expansion of production capacity to support the volumes under the agreement with Revvity Italia and to broaden the customer base;
- consolidation of the Group’s presence in the public hospital channel in the application areas covered (onco -haematology, genetics, pharmacogenetics, cervical cancer screening);
- consolidation of the Group’s role as an industrial platform.
