Siena, 29 July 2026 - Following the full publication in certain media outlets of the letter sent by four Board members to the Chairman of the Board of Directors of Banca Monte dei Paschi di Siena S.p.A.
(the “ Bank ” or “ BMPS ”) and the subsequent public comments made during the conference call on the Offeror’s half -year results, the Bank deems it appropriate to provide some clarifications.
The Chairman of the Board of Directors promptly provided the signatories with a precise and detailed response addressing all the issues raised, confirming that there are no irregularities in the conduct of the Board of Directors and top management’s activities and that the matters referred to in the letter had already been the subject of in -depth discussion in the appropriate Board meetings .
In particular, it was confirmed that: i) the Chief Executive Officer is acting in full compliance with the guidelines and mandate conferred upon him by the Board of Directors in connection with the evaluation of possible extraordinary transactions concerni ng the Bank, as indicated in the press release issued on 16 July 2026; ii) the process of co-opting the missing Board members is proceeding in accordance with the procedures required by the ECB; and iii) the composition of the Board committees and the functioning of the corporate bodies are fully co mpliant with applicable regulations and market practices.
The Bank would not have deemed it necessary to address internal correspondence that had already been reviewed by the relevant bodies in absence of i ts full disclosure and subsequent public comments that suggest ed providing adequate and complete information to the market.
