Notice pursuant to Article 41, paragraph 2, letter c) of Regulation adopted by Consob with resolution No. 11971 of 14 May 1999, as subsequently amended
(“Issuers’ Regulation”)
Siena, 21 August 2026 – With reference to the voluntary public exchange offer launched by Banca Monte dei Paschi di Siena S.p.A. (the “ Offeror ”) on maximum No. 1,515,182,126 shares of Banco BPM S.p.A. (“BPM ”) pursuant to Articles 102 , paragraph 1 of Italian Legislative Decree 24 February 1998, No. 58, as subsequently amended (“ Consolidated Law on Finance ”), and communicated on 21 June 2026, pursuant to Article 102, paragraph 1, of the Consolidated Law on Finance and Article 37 of the Issuers’ Regulation, notice is hereby given that Mediobanca – Banca di Credito Finanziario S.p.A. (“ Mediobanca ”), a subsidiary of BMPS, has carried out, pursuant to article 41, paragraph 2, letter c) of the aforementioned Regulation , the following transactions concerning ordinary shares of BPM.
The transactions fall within the ordinary trading activities of Mediobanca’s desks and relate to market transactions connected, on the one hand, with the natural expiry of listed derivative contracts and, on the other hand, with the management and hedging of existing positions.
