BLOCK ADMISSION APPLICATION
LONDON, United Kingdom, September 30, 2026 Meridian Mining plc (LSE: MNO) (TSX: MNO) (FSE: N2E0) (Tradegate: N2E0) (OTCQX: MRRDF) (“Meridian” or the “Company”) has applied to the London Stock Exchange ("LSE") for a block admission of 1.6 million ordinary shares of €0.01 each in the capital of the Company (the "Block Admission Shares") to trading on the LSE's main market for listed securities.
The Block Admission Shares will be reserved for issue from time to time to satisfy the vesting and exercise of awards ("Awards") for management and employees under the Company’s Omnibus Plan 2025.
The Block Admission Shares will not be issued on admission. They will be issued only as and when Awards vest or are exercised in accordance with the rules of the Company’s Omnibus Plan. The Block Admission Shares will, when issued, be fully paid and rank pari passu in all respects with the existing ordinary shares of the Company in issue, including the right to receive all dividends and other distributions declared, made or paid after the date of issue.
It is expected that admission of the Block Admission Shares will become effective at 8.00 a.m. on or around 6 October 2026.
The Company's issued share capital and total voting rights are unchanged by this application. The Company will notify a Regulatory Information Service of the admission to trading of ordinary shares issued out of the block admission in accordance with the applicable requirements of the Public Offers and Admissions to Trading regime from time to time.
