Nedre Vats, 18 September, 2026: The Remuneration Committee, a sub-committee of the Board of Directors of AutoStore Holdings Ltd. (the "Company" or "AutoStore", OSE: AUTO), has, on 18 September 2026, approved grants under the new long-term incentive plan for 2026 ("LTIP") for the executive management team (the "Executives") in line with the revised remuneration policy approved by the annual general meeting of the Company held on 19 May 2026.
Under the LTIP, the Executives are awarded conditional share options ("options") and performance share units ("PSUs"). The options are issued to focus the Executives on such activities which promote share price appreciation. The PSUs are issued to provide a mechanism to incentivize and reward the achievement of strategic goals, in pursuit of sustainable value creation. The incentive vehicles therefore encourage the LTIP participants to act in the best interests of the Company for the benefit of shareholders and wider stakeholder groups.
The total number of options that will be awarded under the LTIP for 2026 is 67,139,040, where each option will, subject to vesting and the achievement of certain conditions, give the holder the right to acquire one AutoStore share from the Company. The options under the LTIP for 2026 shall vest upon achievement of certain conditions within a predetermined time period (1 January 2026 to 31 December 2028) and can be exercised for six years after the date of grant, with a strike price of NOK 14.82 per option.
The total number PSUs that will be awarded under the LTIP for 2026 is 4,453,890. Vesting of the PSUs is based on the achievement of financial or other performance goals and may only be vested by the holder upon approval of the Board of Directors in their sole discretion. Once vested, each PSU will award the holder with one AutoStore share.
The primary insiders of the Company, Mats Hovland Vikse (CEO), Paul Harrison (CFO), Israel Losada Salvador (COO), Jenny Sveen Hovda (General Counsel), Parth Joshi (CPO), Carlos Fernandez (Chief Solutions Officer), Keith White (CCO), Bendik Førre (Chief Strategy Officer) and Eva Marie Hansen (CHRO) have been awarded a total of 67,139,040 options and 4,453,890 PSUs under the LTIP for 2026, as further described in the attached forms.
