ATOSS Software SE Correction of a release from 14/08/2026, 16:40 CET/CEST – ATOSS Software SE: Release according to Article 40, Section 1 of the WpHG [the German Securities Trading Act] with the objective of Europe-wide distribution

Notice pursuant to Section 43(1) of the German Securities Trading Act (WpHG) (significant shareholding)
On August 10, 2026, Mr. Andreas F.J. Obereder notified us, in accordance with Sections 33(1) and 34(2) of the German Securities Trading Act (WpHG), that the percentage of voting rights held by him—or, more specifically, the percentage of voting rights in ATOSS Software SE attributed to him under a pool agreement of the Obereder family (“pool”) in ATOSS Software SE exceeded the 25% threshold on August 10, 2026, and that the aggregate voting rights resulting from this calculation now total 25.08% (corresponding to 3,989,210 voting rights).
Against this background, Mr. Andreas F.J. Obereder notified us of the following in accordance with Section 43(1) of the German Securities Trading Act (WpHG):
A member of the Pool is AOB Portfolio One GmbH & Co. KG, whose voting rights in ATOSS Software SE are attributed to me via AOB Invest GmbH (hereinafter collectively referred to as “subsidiaries”) as its shareholder pursuant to Section 34(1) of the German Securities Trading Act (WpHG).
Against this background, I hereby provide you with the following additional information, also on behalf of the subsidiaries, in accordance with Sections 43(1) and 37(1) of the WpHG:
1) Objectives Pursued by the Acquisition:
a) Neither the pool nor I personally, through our participation as a pool, are pursuing any strategic objectives or seeking to generate trading profits with respect to ATOSS Software SE.
b) Neither the pool nor I personally intend to acquire additional voting rights in ATOSS Software SE within the next twelve months, whether through acquisition or by any other means.
c) AOB Portfolio One GmbH & Co. KG continues to have the right, as provided for in its articles of association, to appoint members to the Supervisory Board; beyond that, it does not seek to influence the composition of the administrative, management, and supervisory bodies of ATOSS Software SE. I am the Chairman of the Executive Board of ATOSS Software SE and intend to move to the Supervisory Board as planned at the turn of the year 2026/2027.
d) Neither the pool nor I personally seek to change the capital structure of ATOSS Software SE, particularly with regard to the ratio of equity to debt financing or the dividend policy.
2) Source of funds used for the acquisition:
No funds were expended, as the 25% threshold was exceeded not through an additional purchase of treasury shares, but through the attribution of voting rights based on the pool.
