Miami, Florida, 17 September, 2026 Reference is made to the stock exchange notice released by Atlantic Sapphire ASA ("Atlantic Sapphire" or the "Company") on 15 September 2026 which disclosed the minutes of an extraordinary general meeting of the Company held on 15 September 2026 (the "EGM").
In the EGM, it was resolved to carry out a share capital increase through issuance of new shares to be settled by conversion of the initial tranches of a previously announced bridge loan, including origination fee and accrued interests. Consequently, the EGM resolved to increase the share capital by NOK 56,274,069.25 through the issuance of 1,125,481,385 new shares in the Company, each at a subscription price of NOK 0.10, and with a par value of NOK 0.05 (the "New Shares"). All of the New Shares were subscribed by Coral HoldCo AS.
Coral HoldCo AS is a joint investment company established by, and holding the shares in the Company on behalf of, a group of the Company's largest shareholders and convertible loan holders, for the purposes of the restructuring of the Company, consisting of: (i) Condire Management L.P., (ii) Nordlaks Holding AS, (iii) Nokomis Capital, LLC, (iv) Strawberry Capital AS, and (v) Joh Johannson Eiendom AS.
The share capital increase relating to the issuance of the New Shares has now been registered with the Norwegian Register of Business Enterprises. The new share capital of the Company is NOK 58,066,771.50 divided by 1,161,335,430 shares, each with a par value of NOK 0.05.
The New Shares will be delivered to Coral HoldCo AS on a separate and non-tradeable ISIN.
