Atlantic Sapphire ASA (the "Company") has today held an annual extraordinary general meeting digitally. All items proposed on the agenda were adopted. Please find attached the minutes from the meeting in English and Norwegian.
The general meeting resolved to increase the Company's share capital with NOK 56,274,069.25 through the issuance of 1,125,481,385 new shares, each at a subscription price of NOK 0.10 and at a par value of NOK 0.05. Such share capital increase will be settled by set-off of claims held by Coral HoldCo AS in relation to the initial tranches of the Bridge Loan, including origination fee and accrued interest, as further described in the notice for the extraordinary general meeting. All shares to be issued will be subscribed by Coral HoldCo AS.
Following such subscription, Coral HoldCo AS will hold a total of 1,150,124,362 shares and votes in the Company, corresponding to approximately 99.03% of the then outstanding shares and votes. Coral HoldCo AS' holding of shares and votes in the Company will consequently surpass the notifiable 90% threshold pursuant to Section 4-2 of the Norwegian Securities Trading Act.
Coral HoldCo is a joint investment company established by, and holding the shares in the Company on behalf of, a group of the Company's largest shareholders and convertible loan holders, for the purposes of the restructuring of the Company, consisting of: (i) Condire Management L.P., (ii) Nordlaks Holding AS, (iii) Nokomis Capital, LLC, (iv) Strawberry Capital AS, and (v) Joh Johannson Eiendom AS (the "Investor Group"). The Investor Group holds approximately 93.7% of the USD 59.2 million convertible loan issued by the Company and approved by its extraordinary general meeting on 30 September 2025. Coral HoldCo holds no rights to further shares or voting rights in the Company.
