Reference is made to the recommended mandatory tender offer to acquire all issued and outstanding shares in Atlantic Sapphire ASA (the "Company") not already owned by Coral HoldCo AS (the "Offeror"), at an offer price of NOK 0.80 per share in the Company announced 30 July 2026 (the "Offer").
The acceptance period for the Offer expires today, 28 August 2026, at 16:30 CEST.
The complete terms and conditions of the Offer, including procedures for how to accept the Offer, are set out in the offer document dated 30 July 2026 (the "Offer Document"). Shareholders wishing to accept the Offer must, prior to expiry of the offer period and in accordance with the procedures set out in the Offer Document, duly complete and return the acceptance form which is included in the Offer Document. The Offer may only be accepted on the basis of the Offer Document.
Shareholders who accept the Offer shall receive settlement no later than two weeks after the expiry of the acceptance period, and thus no later than 11 September 2026 if the Offer Period (as defined in the Offer Document) is not extended.
Following settlement of the Offer and subject to completion of the restructuring steps set out in the Offer Document (including de-listing of the shares), the Company shall in due course provide further information on the contemplated Private Placement (as defined and further described in the Offer Document).
Wikborg Rein Advokatfirma AS is acting as legal advisor to the Offeror. Advokatfirmaet CLP DA is acting as legal advisor to the Company. Arctic Securities AS is acting as financial advisor to the Company and the Board in connection with the Offer. DNB Carnegie, a part of DNB Bank ASA, is acting as receiving agent in connection with the settlement of the Offer.
About Atlantic Sapphire ASA Atlantic Sapphire is pioneering Bluehouse® (land-raised) salmon farming, locally, and transforming protein production, globally. Atlantic Sapphire operated its innovation center in Denmark from 2011 until 2021 with a strong focus on R&D and innovation to equip the Company with the technology and procedures that enable the Company to commercially scale up production in end markets close to the consumer. In the US, the Company holds the requisite permits and patents to construct its Bluehouse® in an ideal location in Homestead, Florida, just south of Miami.
