VERIFICATION OF INDEPENDENCE REQUIREMENT

Today, the Board of Directors of Poligrafici Printing S.p.A. ("Company"), a company listed on Euronext Growth Milan, organized and managed by Borsa Italiana S.p.A., met.
In implementation of the resolutions passed by the Shareholders' Meeting on June 10, 2026, which appointed the new Board of Directors for the three-year period 2026-2028, the Board of Directors has, among other things, appointed Dr. Nicola Natali as Chief Executive Officer of the Company and has proceeded to assign operational powers to the Chairman and the Chief Executive Officer pursuant to art. 2381 of the Italian Civil Code.
The Board of Directors has also carried out the annual assessment of the independence of director Eng. Sergio Vitelli, verifying the continued existence of the independence requirements as declared by the Independent Director upon acceptance of the office pursuant to Art. 148, paragraph 3, TUF, as well as in compliance with the qualitative and quantitative significance criteria established by the Board of Directors on April 24, 2024.
The Board of Directors, elected by the Shareholders' Meeting of last June 10 based on the list presented by the majority shareholder Monrif S.p.A., is therefore composed as follows:

Poligrafici Printing S.p.A. is a holding company that controls 100% of Centro Stampa Poligrafici S.r.l., a company operating in the printing sector. Furthermore, through the corporate vehicle Linfa S.r.l., it holds approximately 3% of the Fondo Parchi Agroalimentari Italiani (PAI), which manages the "Grand Tour Italia" project.
Poligrafici Printing S.p.A. operates through CSP, mainly in the national industrial printing market, with rotogravure presses (with and without drying units), operating up to 24 hours a day, located in the printing centers of Bologna, Florence, and Milan. The printing activity is aimed at printing newspapers published by Editoriale Nazionale S.r.l., Gazzetta di Parma S.r.l., Gedi News Network S.p.A., Editoriale Libertà S.p.A., and Cooperativa Editoriale Giornali Associati – Cooperativa S.P.A. The business model of Poligrafici Printing S.p.A. aims to enhance the potential offered by the strategic positioning of its production facilities and its printing production capacity, which allows it to offer printing slots in a sector characterized by high entry barriers due to the size of the necessary investments and the technical expertise possessed by few operators in the sector, but it is also aimed at evaluating strategic opportunities in other business sectors.
