Appointment of Independent Non-Executive Director
The Board of FGEN is pleased to announce the appointment of Steven Wilderspin as an independent non-executive director of the Company with effect from 17 September 2026. Steven has also been appointed Chair of the Audit Committee, succeeding Stephanie Coxon, who assumed the role of Chair of FGEN following the conclusion of the Company's Annual General Meeting held earlier today.
Steven is a Chartered Accountant and highly experienced independent director with almost 20 years of board experience, primarily across listed and private investment companies operating in the investment management sector.
Throughout his career, Steven has served on boards and advisory structures associated with leading global investment managers and has extensive experience across a range of asset classes, including listed equities, structured credit, private equity, infrastructure and real estate. This experience spans multiple market cycles and a broad range of governance, financial oversight and risk management responsibilities.
He currently chairs the Audit Committee of Henderson Far East Income Limited, a FTSE 250-listed investment company managed by Janus Henderson. He also chairs the Audit and Risk Committees of GCP Infrastructure Investments Limited and HarbourVest Global Private Equity Limited ('HVPE'), both FTSE 250-listed investment companies. He is also a non-executive director of Phoenix Spree Deutschland Limited, a London-listed residential property investment company. Steven previously chaired the Audit and Risk Committee of 3i Infrastructure plc and chaired the board of Blackstone Loan Financing Limited, both listed on the London Stock Exchange.
Steven is regulated by the Jersey Financial Services Commission to act as an independent director and is qualified to conduct investment business in Jersey.

In accordance with UK Listing Rule 6.4.8R, there is no further information requiring disclosure in connection with Steven's appointment.
