Reference is made to the stock exchange notice published by Airswift Global AS (the "Company") on 7 October 2026, in which it was announced that the Company had successfully placed a new 5-year senior secured bond in an amount of USD 325 million (the "New Bonds").
The Company has today given notice (the "Call Notice") to Nordic Trustee AS (the "Bond Trustee") that the Company wishes to exercise the call option under its existing bonds with ISIN NO0013152389 (the "Bonds") and redeem all outstanding Bonds at a price equal to 105.00 per cent of the nominal amount plus accrued and unpaid interest on the redeemed Bonds pursuant to paragraph (a) of Clause 10.2 (Voluntary early redemption - Call Option) of the Bond terms dated 27 February 2024.
The settlement date shall be the date falling ten (10) Business Days after the date of the Call Notice, being 26 October 2026 (the "Call Option Redemption Date"). The record date for the Call Option will be 22 October 2026.
The exercise of the Call Option is conditional upon the Company confirming that all of the conditions precedent for disbursement of the proceeds from the issuance of the New Bonds having been satisfied or waived by no later than 21 October 2026 (the "Redemption Condition"). The Company will notify the Bond Trustee and the bondholders upon satisfaction or waiver of the Redemption Condition.
