Amendment to Secured Investment Agreement with RiverFort
Marula Mining PLC (AQSE: MARU A2X: MAR), an Africa-focused mining and development company, announces that it has agreed a further amendment to its secured investment agreement (the "Bridge Agreement") with RiverFort Global Opportunities PCC Ltd ("RiverFort") as announced on 6 November 2025.
The amendment extends the maturity date of the first advance by three months to 5 October 2026. Following further discussions, the Company can confirm no default or default interest arises as a result of this extension.
The Company confirms that a repayment of US$100,000 has been completed. Following this repayment, and additional agreed fees and costs, the principal outstanding fee amounts to approximately US$740,000.
The amendment also provides for RiverFort to receive additional warrants, calculated by reference to 15% of the restated principal amount, on the same terms as the existing warrant instrument.
Riverfort continue to hold a fixed and floating charge over all the current and future assets of the Company until such time as the loan under the Bridge Agreement is repaid.
The Company continues to carefully manage its constrained working capital position.
The existing guarantors have confirmed that their obligations remain in force and apply to the agreement as amended.
