INTEGRAZIONE AL COMUNICATO STAMPA DEL 1° OTTOBRE 2026
Provaglio d’Iseo (BS), 2 ottobre 2026 - Facendo seguito al comunicato stampa diffuso in data 1° ottobre 2026 relativo al perfezionamento dell’acquisizione del gruppo Novus, Gefran S.p.A. precisa che, in relazione all’operazione di finanziamento con la controllata G efran Brasil Eletroeletronica Ltda, la Società si è avvalsa dell’esclusione per le operazioni infragruppo prevista dall’art. 14.2 del Regolamento Consob recante disposizioni in materia di operazioni con parti correlate, adottato con delibera n. 17221 del 12 marzo 2010, come successivamente modificato e integrato, nonché dall’articolo 12.2 lettera d) della Pro cedura Interna per le operazioni con parti correlate di Gefran.
Il presente comunicato integra quello diffuso in data 1° ottobre 2026, che resta invariato per ogni altro aspetto.

Provaglio d’Iseo (BS), October 2nd, 2026 - Following to the press release issued on October 1st, 2026 concerning the completion of the acquisition of the Novus Group, Gefran S.p.A. hereby clarifies that, in connection with the financing transaction with its subsidiary Gefran Brasil Eletroeletronica Ltda , the Company relied on the exemption for intragroup transactions provided for under Article 14.2 of the Consob Regulation governing related -party transactions, adopted by Resolution No. 17221 of March 12th, 2010, as subsequently amended and supplemented, as well as under Article 12.2(d) of Gefran’s Internal Procedure for Related -Party Transactions.
This press release supplements the press release issued on October 1st, 2026, which remains unchanged in all other respects.
