AEFFE S.P.A. E POLLINI S.P.A.: APPLICATION FILED FOR ACCESS TO THE UNIFIED INSOLVENCY
PROCEEDINGS PURSUANT TO ARTICLES 40, 44 AND 284 OF THE ITALIAN CRISIS AND INSOLVENCY

San Giovanni in Marignano (RN),10th October 2026- Aeffe S.p.A. ("Aeffe " or the " Company "), a company listed on the Euronext Milan market of Borsa Italiana and a leading player in the fashion and luxury sector, further to the announcement released on 30 September 2026 and in light of the expiry, on 4 October 2026, of the negotiated settlement procedure ( composizione negoziata della crisi d'impresa ) initiated on 2 October 2025, announces that, on 9 October 2026, together with its subsidiary Pollini S.p.A. ("Pollini"), it filed a so -called "protective" application (ricorso prenotativo) seeking access to the unified insolvency proceedings pursuant to Articles 40, 44 and 284 et seq. of the Italian Crisis and Insolvency Code (the " CCII"), requesting the Court to grant a period of 60 days within which to submit a restructuring plan subject to court confirmation ( Piano di Ristrutturazione soggetto ad Omologazione or "PRO") pursuant to Articles 64 -bis and 284 CCII, together with all supporting documentation required by law.
Within the context of the above application, filed with the Court of Bologna, Aeffe and Pollini have also requested the granting of erga omnes protective measures over their assets, pursuant to and for the purposes of Articles 54, second paragraph, first and second sentences, and 55 CCII, for a period of four months, seeking an order that: (i) all creditors be prohibited from acquiring security interests, commencing and/or continuing enforcement or precautionary actions against the assets, property and/or rights of any kind belonging to Aeffe and Pollini; (ii) limitation periods be suspended and forfeiture periods not take effect; and (iii) no jud gment opening judicial liquidation proceedings or declaring a state of insolvency be issued.
In order to implement the binding offer submitted by Oxy Capital Italia S.r.l. within the timetable set forth therein, Aeffe and Pollini have further requested authorization, pursuant to Articles 44, paragraph 1 -quater, and 64-bis, paragraph 9 -bis, CCII, subject to any competitive procedures that the Court may deem appropriate to order, to dispose of their business assets prior to the court confirmation of the restructuring instrument that will be proposed within the term to be granted by the Court pursuant to Article 44 CCII.
In the same context, Aeffe has submitted an application pursuant to Article 99 CCII seeking authorization to obtain a super -priority bridge financing facility (finanziamento ponte prededucibile ) in the amount of Euro 7 million, intended to support the ordinary course of business operations until completion of the transfer of the relevant business undertakings.
