AEFFE S.P.A. AND POLLINI S.P.A.: UPDATE ON THE NEGOTIATED CRISIS SETTLEMENT PROCESS
San Giovanni in Marignano, 21 September 2026 - Following the announcement made on 30 July 2026, as well as the update provided in the press release of 31 August 2026, Aeffe S.p.A. ( Aeffe or the Company ), a luxury goods company listed on Borsa Italiana’s Euronext Milan market and operating in the ready -to-wear, footwear and leather goods sectors under international brands including Alberta Ferretti, Moschino and Pollini, announces that, following the hea ring held on 9 September, the Court of Bologna, by order notified today, ruled on the application filed by Aeffe and its subsidiary Pollini S.p.A. ( Pollini) for the granting of selective precautionary measures pursuant to Article 19 of the Italian Business Crisis and Insolvency Code (the CCII), aimed at safeguarding the companies’ assets pending completion of the activities required to file the final application for access to the crisis resolution instrument, currently identified as the restructuring plan subject to court approval pursuant to Articles 64 -bis et seq. of the CCII.
While acknowledging “ the positive assessments of the Expert, who reported that the prospects for recovery now show a greater degree of concreteness than in June”, the Court rejected the application for precautionary measures. In support of its decision, the Court referred, on the one hand, to certain interpretations that rule out the possibility of extending the duration of protective measures beyond the maximum limit established by Article 19 of the CCII by resorting to precautionary measures of similar content and, on the other hand, found that, although the recovery process had made significant progress, it was still not sufficiently mature and complete, also i n view of its objective complexity and the approaching expiry of the negotiated settlement process (4 October 2026), considering that the application could be resubmitted within the proceedings aimed at accessing a business crisis resolution instrument.
In light of the foregoing, Aeffe and Pollini are considering filing a so -called “reservation” application pursuant to Articles 40 and 44 of the CCII, within which they may request the application of the protective measures provided for under Articles 54 an d 55 of the CCII for the time required to complete the discussions still under way and finalise the remaining elements of the restructuring plan pursuant to Articles 64 -bis et seq. of the CCII.
The process will be submitted to the Board of Directors for re view in the coming days, with the aim of filing the reservation application between the end of September and the beginning of October and, subsequently, filing the final application for access to the crisis resolution instrument by the end of October.
The Company will promptly inform the market of developments in the recovery process.
