AEFFE SPA: SHAREHOLDERS' FINANCING OF €2 MILLION COMPLETED, UPON
AUTHORIZATION BY THE MILAN COURT AND RECOGNITION OF PREDUCTION PURSUANT
TO ART. 22 CCII
San Giovanni in Marignano, 9 July 2026. Following the announcement made on 23 June 2026, Aeffe SpA ( Aeffe or the Company ) – a company listed on the Euronext Milan market of the Italian Stock Exchange, a leader in the fashion and luxury sector – informs that, following the hearing held on 26 June 2026, the Court of Bologna has authorised the Company to enter into an interest -free shareholder loan of Euro 2 million with the shareholders Colloportus Srl and FQuattro Srl, with recognition of the benefit of prededuction pursuant to Article 22, paragraph 1, letter b), CCII (the Shareholder Loan ).
The Shareholder Financing, fully disbursed today, is intended to meet current financial needs until July 2026, pending receipt of binding offers announced by certain potential investors. Upon receipt of these offers, the Company will submit a new applicati on to the Court for authorization to grant the benefit of pre- deduction pursuant to Article 22, paragraph 1, letter b), CCII to a further, more substantial financing facility intended to meet financial needs for the entire interim period until closing .
The repayment of the Member Financing will occur on the earliest of the following dates: (i) the eighteenth month following the disbursement date; (ii) the crediting to the Company of the proceeds from the sale of its business assets; (iii) the collection by the Company of the proceeds from the sale of a property owned by Aeffe used as a warehouse located in San Giovanni in Marignano.
Repayment of the Member Financing is guaranteed by a pledge on a current account.
