THE ITALIAN SEA GROUP:
11 NON -BINDING OFFERS RECEIVED
Marina di Carrara, Carrara, 15 September 2026 – The Italian Sea Group S.p.A. (“ TISG ” or the “ Company , further to the press release dated 9 August 2026 concerning the launch of the competitive process aimed at identifying potential investors as part of the Company’s restructuring process, the Company announces that the first phase of the process was complete d today with the receipt of 11 non-binding offers relating to transactions structured as either Asset Deals or Share Deals .
The offers are currently being assessed by the Company’s advisors.
The competitive process will now proceed to its second phase, to which selected parties will be admitted on the basis of the offers received. This phase will include, among other activities, the conduct of a more in -depth due diligence process, with a view to receiving binding offers by 15 October 2026.
Consistently with previous disclosures, the identity of the participating parties and the terms of the offers will remain confidential, in light of confidentiality requirements and in order to ensure the proper conduct of the ongoing discussions and proces s.
